- Provide legal advice on corporate and securities law matters, offering practical recommendations to the management team.
- Prepare and coordinate continuous disclosure documents in accordance with applicable securities laws and regulations, including the annual information form and the management proxy circular, as well as for any offering.
- Participate in the planning and organizing meetings of the board of directors and its committees.
- Draft and negotiate letters of intent, purchase/sale agreements, and other documents related to mergers, acquisitions, and corporate reorganizations, and coordinate closing activities with internal and external stakeholders.
- Conduct due diligence in collaboration with operational teams.
- Provide strategic legal support throughout the transactional process, from initial evaluation to closing.
- Draft and negotiate various commercial agreements, including customer agreements, procurement agreements, licenses, and leases.
- Provide reliable legal advice and guidance to operational teams on various corporate matters.
- Identify and assess legal risks, interpret legal and regulatory developments, and contribute to the development and continuous improvement of internal policies, practices, and procedures.
- Support operational teams in managing disputes prior to the commencement of legal proceedings.
- Draft demand letters and negotiate settlement agreements.
- Member of the Québec Bar.
- 7 to 10 years of experience in securities and corporate law, including exposure to corporate secretariat activities and mergers and acquisitions.
- Excellent drafting and contract negotiation skills, particularly in complex and strategic contexts.
- Ability to work under pressure and manage multiple files simultaneously in a dynamic environment.
- Strong communication skills and ability to simplify legal concepts to facilitate exchanges with internal and external stakeholders.
- Pragmatic, solutions-oriented approach, with sound judgment and ability to prioritize effectively.
- Demonstrates professional rigor and great attention to detail in analysis and drafting.
- Knowledge of privacy law and intellectual property are considered assets.
- Bilingualism required (French and English), both spoken and written.
