JOIN USAs Legal counsel at Laurentide, your role is crucial in ensuring legal compliance, managing contractual agreements, and mitigating legal risks for the company. You will provide expert legal advice, draft and review contracts, and support Laurentide in navigating contractual legal complexities.Scope:Reporting to the CFO, Legal counsel will be involved in contractual legal matters, including contract management, compliance, and risk mitigation. This is a new role that requires proactive engagement to safeguard Laurentide's interests and ensure adherence to legal requirements.WHAT YOU BRING TO THE TABLECommercial legal support
Draft, review, and negotiate a diverse range of corporate contracts, including vendor/supplier agreements, M&A, client/sales contracts, partnership/subcontractor’s agreements, non-disclosure agreements, lease agreements, and software licensing to support our commercial efforts.
Develop and maintain standardized contract templates to ensure consistency and accuracy across all agreements.
Implement efficient contract management processes to monitor contract lifecycles, renewal dates, and obligations.
Liaise with internal departments to understand contract requirements and negotiate favorable terms while mitigating legal risks.
Participated in the development of training and work tools for the various businesses of the Group.
Legal Guidance and Support:
Provide legal guidance and support to business unit leaders for all corporate contractual agreement.
Conduct legal research and advise on compliance in laws and regulations affecting the company's operations (ie: Bill 25, Bill 26), ensuring alignment with best practices.
External Engagement:
Collaborate with external legal counsel when necessary, managing external resources effectively to optimize legal expenses in contracts management.
Participate in corporate contractual transactions and negotiations, resolution of legal disputes, and legal proceedings, including mediation, and litigation management.
Assist in the due diligence process for mergers, acquisitions, and other corporate transactions, providing legal guidance and support as needed.
Documentation and Operational Compliance:
Maintain organized and up-to-date documentation of all contracts and agreements.
Ensure contracts compliance with applicable laws, regulations, and industry standards across all business activities.
Develop and implement compliance policies and procedures to mitigate legal and regulatory risks in contracts management.
Manage and execute the process of obtaining and renewing necessary licenses, insurance and permits for company operations, including liability insurance for clients and employees’ immigration/travel visas.
Maintain and update minute books of the Group, including our four employee shareholder programs.
ESSENTIAL SKILLS AND QUALIFICATIONS TO BE SUCCESSFUL
A Bachelor of Laws degree (or equivalent);
Bar membership in Québec, Ontario, or another jurisdiction
3-5 years years of experience within a company or a law firm;
Excellent analytical and communication skills, with great attention to detail.
Strong commercial judgement with an understanding of business operations would be considered an asset.
Full proficiency in the French language is required. Being able to read and write contractual agreements in both languages is a must.
Measures of Success (KPIs):
Contract Turnaround Time: Measure the average time taken to draft, review, and finalize contracts. This KPI ensures timely contract management and supports business agility.
Contract Compliance Rate: Monitor the percentage of contracts that adhere to legal and regulatory requirements. This KPI demonstrates the effectiveness of legal counsel in ensuring compliance and mitigating legal risks.
Legal Cost Management: Evaluate the budget variance for legal expenses compared to the allocated budget. This KPI assesses counsel’s effectiveness in managing legal costs and optimizing resource utilization.
Stakeholder Satisfaction: Conduct regular feedback surveys or interviews with internal stakeholders to gauge satisfaction with legal support and services provided. This KPI reflects counsel’s ability to meet the needs and expectations of various departments within the organization.
Compliance Audit Results: Monitor the outcomes of internal and external compliance audits, focusing on findings related to legal matters and contracts. This KPI evaluates counsel’s success in ensuring adherence to regulatory requirements and internal policies.
Legal Documentation Accuracy: Assess the percentage of legal documentation that is error-free and compliant with standards. This KPI measures counsel’s attention to detail and the quality of legal documentation produced.
