What you will doAs a Manager within our Transaction Services team, you will lead multi-disciplinary projects to deliver tailored M&A advisory services. Your responsibilities include:Financial Due Diligence:
- Manage financial due diligence engagements and provide M&A transaction support and advisory services to our clients;
- Prepare and deliver “Quality of Earnings” analysis;
- Advise your clients on Target Working Capital for deal closing purposes;
- Identify debt-like items, advise on deal closing mechanisms;
- Interpret and analyze information memoranda, business plans, publicly available information on the target business;
- Review and analyze historical trading, cash flow, capital expenditure, forecasts and underlying assumptions; and
- Report potential key issues for our clients including identification of risk or price factors impacting investment decisions.
- Review share/asset purchase agreements and financial models to reflect findings of the due diligence process.
- Training and mentoring junior team members to foster technical excellence and career development.
- Deliver exceptional client service by maximizing results and driving high performance from people, while also fostering collaboration across businesses and borders;
- Deliver verbal and written key issues summaries for our clients including identification of risk or price factors impacting investment decisions;
- Influence clients, teams and individuals positively, leading by example and establishing confident relationships as a representative of KPMG Deal Advisory; and
- Understand key objectives for clients and KPMG and align people to them to set appropriate priorities and direction.
- Must have an accounting professional designation (i.e. CPA); progress toward a CBV or CFA designation is an asset,
- 2+ years of experience within transaction services and 4+ years of total accounting/finance experience in a consulting and/or corporate environment including:
- Financial due diligence or M&A analysis and report writing experience
- Ability to identify issues and factors impacting valuations
- Financial statement interpretation and analysis, including an understanding of multiple accounting frameworks (i.e. IFRS, APSE and US GAAP experience)
- Professional presentation and report writing capabilities to develop proposals and deliverables, communicating findings concisely and effectively;
- Demonstrated excellence in project management and client deliverables, including experience in managing engagement cycles, team performance, and client outcomes;
- A proven track record in diagnosing project issues, developing solutions, and managing stakeholder expectations;
- Proficient in advanced Microsoft Excel functionalities, including creating dynamic FDD databooks using complex formulas, leveraging Power Query for data transformation, designing pivot tables for financial analysis, and automating workflows using VBA macros; and
- Additional experience in corporate development, financial modeling, or data-driven analytics is a strong asset.
