Industry: SaaS / Technology for EquipmentDESCRIPTION:You will act as a strategic liaison between Sales, Partnerships, Finance, and Operations teams. This role will focus on reviewing, negotiating, and administering a variety of commercial agreements to accelerate deals, safeguard company interests, and enable partner success. You will report to the CFO and collaborate with cross-functional teams, including sales, partnerships, finance, security/IT, and operations. You will also engage directly with customers, partners, and vendors.
- Review, redline, and negotiate a wide range of commercial agreements, including MSAs, Order Forms, DPAs, SOWs, NDAs, and Reseller/Referral agreements.
- Engage directly with customers, partners, and vendors to drive negotiations to closure, achieving win-win outcomes.
- Strike a strong risk/reward balance in legal reviews that reflects the organization's risk appetite, escalating issues thoughtfully when needed.
- Collaborate with internal stakeholders with a partner-centric mindset to unblock deals and enable revenue growth.
- Maintain and improve contract templates, playbooks, and a clause library to drive consistency, reduce cycle time, and improve operational efficiency.
- Track contract status, approvals, and renewals; ensure executed documents are stored, searchable, and auditable.
- Support privacy, data protection, and security requirements (e.g., DPAs, SCCs, InfoSec questionnaires) in collaboration with Security/IT teams.
- Identify recurring negotiation themes and recommend policy or template updates to prevent future friction.
- Utilize and recommend AI tools to improve the efficiency and effectiveness of the contract evaluation and administration process.
- Bachelor's Degree in a related field such as Business, Law, or Finance is considered an asset.
- 5+ years of progressive experience in contract administration, paralegal, legal operations, or commercial negotiations, within a SaaS or technology environment.
- Demonstrated ability to engage counterparties on redlines and negotiate complex agreements to closure.
- Solid grasp of common commercial contract terms (indemnity, limitation of liability, SLAs, data security, IP, termination, payment terms).
- Strong business judgment and a pragmatic, risk-balanced approach aligned to organizational priorities.
- Familiarity with privacy and data protection principles (e.g., GDPR, CCPA/CPRA, PIPEDA) is a strong asset.
- Experience with Contract Lifecycle Management (CLM) or document management tools is a plus; advanced skills in Google Workspace/Docs.
- Excellent communication, organization, and stakeholder management skills.
- Clear understanding of and experience with common AI tools and their application in contract reviews and administration.
- Professional certification(s) (e.g., WorldCC/IACCM) or formal legal training is considered an asset.
