Closing Date: September 10, 2025All applicants must submit a single document containing both a cover letter and a curriculum vitae (CV).Position SummaryUHN is seeking a results-oriented Corporate/Commercial lawyer, with a strong preference for candidates with digital technology and privacy experience, to join its Legal Affairs Department as a full-time employee.Duties
- Provide a full spectrum of legal services across the organization with an emphasis on digital technology, privacy and corporate/commercial services within a public hospital regulatory regime, enabling the delivery of outstanding health care.
- Primarily work with UHN Digital (UHN's Information Management and Technology Department) and UHN Privacy, as well as various clinical and other supporting departments (e.g. Procurement, People & Culture, Finance).
- Work with clinical, research and commercialization colleagues to assess and document data sharing and quality improvement/assurance initiatives involving external parties/collaborators and related intellectual property and publication rights.
- Advise on legal issues and risk management related to cloud computing, AI technologies, collaborating with clinical, privacy, research, commercialization, and digital colleagues
- Draft and negotiate commercial and transactional contracts; advise colleagues on operational, legal and reputational matters to best leverage opportunities and anticipate and manage risk and disputes; engage in legal research/training to staff on legal and regulatory matters; represent Legal Affairs in committee responsibilities; and perform other responsibilities as assigned and/or requested.
- Be the first point of contact for Managers, Directors and Senior Management, work directly with third party partners, external counsel, government and other stakeholders, and cooperatively establish a regular or as needed cadence of engagement with peers and manager(s) for proactive support and guidance.
- Supervise law students and delegate where necessary to legal professionals assisting the practice group.
- Bachelor's Degree in Law or recognized equivalent, and member in good standing with the Law Society of Ontario;
- Experience drafting, structuring and negotiating complex commercial agreements, including software and systems development and licensing agreements, and advising on matters related to data protection and privacy and a broad range of digital initiatives;
- Familiarity with online technologies, including cloud computing and AI applications and related regulatory issues;
- Proven collaborative planning skills in an evolving and fast-paced environment;
- Knowledge of the role of hospital policies, procedures and protocols, as well as public procurement;
- High proficiency of applicable legislation in varied areas of law, including technology, e-commerce, and privacy;
- Fairness, openness, patience and a high level of integrity and judgment;
- Excellent verbal and written communication skills; ability to translate complex regulatory standards into material that can be understood by a functionally diverse audience;
- Excellent client service, interpersonal and diplomacy skills, strong initiative, and the ability to work well with a variety of stakeholders;
- Excellent organizational and time management skills required to handle competing and simultaneous priorities with deadline pressure;
- Excellent analytical and problem-solving skills with the ability to assess legal risk in the context of business realities;
- Curiosity and eagerness to learn areas about new areas and technological developments;
- Minimum of two years of practical related experience;
- Experience in a regulatory setting strongly preferred;
- Experience with Research Agreements or handling large data repositories an asset.
